Healthcare giant Viatris has agreed to acquire specialty pharmaceuticals maker Pacira BioSciences in a deal valued at approximately $1.65 billion. According to reporting from Needham & Company and Pluang Market News, Viatris will pay $36.50 per share in a transaction structured with both cash and equity consideration.
The acquisition targets Pacira's non-opioid pain management portfolio, including its flagship surgical analgesics. Consolidating specialized clinical delivery systems has become a priority across mid-cap biopharma as commercialization costs rise and patent cliffs approach for legacy formulations. Viatris has focused on building higher-margin specialty franchises since spinning out of Pfizer and merging with Mylan, divesting non-core generic assets over recent fiscal quarters to free up balance-sheet capacity.
The agreed buyout price of $36.50 per share represents a decisive premium over Pacira's recent trading range. Deal activity across specialty healthcare had slowed under prolonged interest-rate pressure, with elevated corporate borrowing yields raising hurdle rates for cash acquisitions. Despite that macro drag, corporate balance sheets with disciplined leverage profiles are moving on bolt-on targets that offer immediate commercial revenue.
The transaction requires customary regulatory clearances and approval from Pacira shareholders before closing. Market scrutiny will center on antitrust reviews of the combined portfolio's hospital-based pain management formulations, though neither firm signaled expected divestitures to complete the transaction.
